1. Agreement to Terms
By accessing or using GEXAURA (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
GEXAURA provides an intelligent concierge service for dental clinics, including:
- 24/7 automated patient communication
- Appointment scheduling and management
- Patient inquiry handling
- Multi-channel integration (WhatsApp, Telegram, SMS, Web Chat)
- Knowledge base management
3. Eligibility
You must be:
- A registered dental clinic or healthcare provider
- Legally authorized to enter into contracts
- In compliance with local healthcare regulations
4. Account Registration
4.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Provide accurate and complete information
- Update information promptly when it changes
- Notify us immediately of unauthorized access
- Be responsible for all activities under your account
5. Subscription Plans and Pricing
5.1 Plan Types
- Starter: Up to 500 conversations/month, basic scheduling integration
- Professional: Unlimited conversations with advanced features and analytics
- Enterprise: Custom solutions for clinic networks with dedicated support
5.2 Billing
- Subscriptions are billed monthly in advance
- Prices are quoted in the currency specified in your service agreement
- Payment terms are outlined in your individual service agreement
- Late payments may result in service suspension
6. Service Availability
6.1 Uptime Target
We strive for 99.9% uptime (excluding scheduled maintenance). Enterprise plans include SLA guarantees with compensation for downtime.
6.2 Maintenance
Scheduled maintenance will be announced 48 hours in advance when possible. Emergency maintenance may occur without notice.
7. Acceptable Use Policy
You agree NOT to:
- Use the Service for illegal purposes
- Violate patient privacy or medical confidentiality
- Attempt to reverse-engineer or hack the Service
- Share your account with unauthorized parties
- Upload malicious code or spam
- Exceed reasonable API rate limits
8. Intellectual Property
8.1 Our IP
The Service, including proprietary technology, software, design, and content, is owned by Gexiro Global Enterprises Ltd. You receive a limited, non-exclusive license to use the Service.
8.2 Your Content
You retain ownership of data you input. You grant us a license to process this data to provide the Service and improve system performance (in anonymized form only).
9. Data Privacy and Security
Our handling of your data is governed by our Privacy Policy. We comply with GDPR and applicable local data protection regulations.
10. Service Limitations and Disclaimers
IMPORTANT: GEXAURA is an automated concierge system, not a medical professional.
- Responses are generated based on your clinic's verified knowledge base and may require professional review
- Final medical decisions must always be made by licensed professionals
- Emergency situations require immediate human intervention
- Clinic administrators are responsible for maintaining accurate information in the knowledge base
11. Liability and Warranties
11.1 Disclaimer of Warranties
The Service is provided “AS IS” without warranties of any kind, express or implied.
11.2 Limitation of Liability
To the maximum extent permitted by law, Gexiro Global Enterprises Ltd shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding fees paid in the last 12 months
12. Indemnification
You agree to indemnify Gexiro Global Enterprises Ltd against claims arising from:
- Your violation of these Terms
- Your violation of patient privacy laws
- Your misuse of the Service
13. Termination
13.1 By You
You may cancel your subscription at any time. Access continues until the end of the billing period.
13.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay fees
- Engage in fraudulent activity
14. Changes to Terms
We reserve the right to modify these Terms at any time. Significant changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Gibraltar. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gibraltar.
16. Entire Agreement
These Terms, together with our Privacy Policy and your individual service agreement, constitute the entire agreement between you and Gexiro Global Enterprises Ltd regarding the use of GEXAURA.
